Job Purpose:
Job Opportunities at NMB Bank Plc October 2022 To provide legal advice on all legal matters of the Bank except those which relate to Company Secretarial and Corporate Governance.
Main Responsibilities:
- Responsible for ensuring that the Bank has effective Legal and Regulatory risk control frameworks and processes per the Bank’s strategic direction.
- Responsible in restructuring the Legal department by clearly defining departmental roles and aligning them to business goals
- Define the strategic direction for the Legal function within the Bank
- Responsible for the implementation and maintenance of the Bank’s legal and regulatory framework.
- Represent the Bank in all Legal related matters and ensure the best interest of the business is embedded in good faith.
- Manage relationships with external counsels and monitor their performance using best supplier management practices.
- Support business in the effective management of Legal matters and ensure the Legal Control resources are always sufficient, and capable to deliver on all key elements.
- Ensure the Legal related matters are well managed and monitored within an acceptable level, timely and proactively advise the management on the appropriate course of action.
- Attend governance meetings as required by the Bank policies.
- Comply with the procurement policy of the Bank on all legal matters.
- Effective management of the relationship with key country legal bodies and external counsels
- Pro-active and timely identification and management of legal risk arising in the conduct of business in Tanzania.
- To ensure that appropriate policies and procedures are in place and embedded to meet company, legal and local regulatory requirements.
- Participate in drafting and review of contracts, leases, policies, procedures, and other legal documents.
- Monitor costs by tracking internal and external spending including all invoices received from external counsels.
- Monitor and follow up on new laws and amendments to relevant sources such as Government Gazettes and media.
- Reshape and reorganize the function and ensure it gives optimal support to business units.
- Performing miscellaneous job-related duties as assigned.

Head; Marketing, Communication & Corporate Affairs (1 Position(s))

Job Purpose:
Advising on the overall Bank’s Communications and Public Affairs policy in order to promote the Banks public image and develop an overall strategy and action plans for Corporate Communications, Public Affairs and Corporate Social Responsibility.
Developing marketing strategy by studying economic indicators; tracking changes in supply and market demand; identifying customers and their current and future needs; monitoring the competition.
Main Responsibilities:
- Be the first point of contact for external media relations to ensure positive representation of the bank and its products in all media, including managing media engagement as the bank’s spokesperson and as delegated by the CEO from time to time
- Manage protocol for professional and consistent exposure during public appearances of the CEO
- Manage the bank’s reputation including crisis management in case of any (potential) matter arising that may threaten Bank’s good and solid image
- Implement a structured programme to facilitate appropriate levels of interaction with a variety of stakeholders, including the public and government officials, lobbying for business purposes, image, and policy influence
- Represent Bank, and provide relationship support, towards potential investors, government, and other stakeholders
- Provide political, social, and economic intelligence to support business decisions through
- oPublic policy & political risk monitoring and reporting
- oStakeholder management, including identification, intervention and management of potentially damaging issues that may arise from press reports and other media outlets, bringing these proactively to the CEO and others for internal deliberation
- oCrisis communication plan implementation, team structure management and crisis management preparedness, using crisp and well well-thought-thoroughness communiqués using the most suitable media given the situation
- oBuilding and maintaining relationships with both print and electronic media houses
- oBuilding and maintaining cordial relationships with relevant Ministries, Permanent Secretaries, Regional commissioners etc.
- Collaborate with business units to maximise potential from community investments, leveraging client relationships and identifying revenue opportunities
- To promote the sales of the companys products and services that will most benefit the customers, and to establish creditability through communication in a manner that will optimize the companys market share and savings, improve the companys efficiency, help achieve the companys mission and goals.
- Coordinate all advertising for the company and negotiate with print and other media representatives to ensure efficient purchasing of advertising.

Qualifications and Experience:
- Bachelor’s degree in marketing, communication, journalism, public relations & corporate communication or in a related field gained from a recognized university.
- In case of an alternative Master’s degree, a post graduate qualification in marketing, public relations/ mass communication is required
- 10 years’ experience in marketing, corporate communication and/or public affairs, with a leading organization in Tanzania, 5 years in a managerial position
- Experience leading teams, defining, and executing a Marketing/Public Affairs/ Corporate Social Responsibility strategy in a large corporate organization
- Experience navigating complex organizations, including gaining access to key executives and stakeholders and successfully building relationships with functions in a matrix structure
Company Secretary – Fixed Term (3 Years) (1 Position(s))

Job Purpose:
To discharge General Board Secretarial and Statutory Functions for the Bank, including ensuring that the Bank complies with statutory requirements of the Companies Act, and conforms to the Articles and Memorandum of Association and good corporate governance practices.
Main Responsibilities:
- Design, define and implement Company Secretarial and Corporate Governance strategy in alignment with the strategy of the bank
- Providing legal counsel to the Board of directors, chairman of the Board, Chief Executive Officer, and the Executive Committee.
- Managing board processes – Board and Committee papers and circulation of agendas, minutes, discussion papers, and proposals for the board and its committees.
- Ensuring shareholders’ and directors’ meetings are properly called, organized, and held.
- Advising the Board on good practices in corporate governance, e.g., giving guidance on the legal implications of the way the Board discharges its duties, runs meetings and makes decisions.
- Counselling the Board on standards of ethical and corporate behaviors.
- Manage Board of Directors calendars
- Ensuring the board has the information it needs to make informed decisions.
- Organizing Board and Committee evaluations in line with regulatory requirements and MEMARTS.
- Creating directors’ reports on behalf of the Board.
- Completing statutory forms as prescribed by the Registrar of companies.
